1. Acceptance of Terms

By accessing or using the Syncalio platform ("Service"), creating an account, connecting a calendar, publishing a booking page, or booking an appointment through a Syncalio page, you agree to these Terms & Conditions ("Terms"). If you do not agree, do not use the Service.

These Terms apply to account holders, free-plan users, paying subscribers, administrators, visitors and invitees who interact with a Syncalio booking page.

2. Service Provider and Contact

The Service is provided by Syncalio by Bros Energy SA, Via Marianda 16B, 6926 Montagnola, Switzerland.

3. Description of Service

Syncalio is a multi-context scheduling and booking platform that helps professionals manage public profiles, booking links, connected calendars, availability and appointment workflows from one workspace. The Service may include:

  • public profile pages and public booking pages;
  • booking links and appointment scheduling;
  • Google Calendar and Microsoft Outlook / Microsoft 365 Calendar integrations;
  • availability synchronization and conflict reduction across connected calendars;
  • booking confirmations, reminders, cancellation and rescheduling flows;
  • brand identity and profile settings;
  • subscription, billing and account management where paid plans are available.

4. Accounts and Eligibility

You must provide accurate account information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify Syncalio if you suspect unauthorized access.

You must be at least 16 years old to create a Syncalio account. If you use Syncalio on behalf of a company or organization, you represent that you have authority to accept these Terms for that organization.

5. Plans, Subscriptions and Payments

Syncalio may offer free and paid plans. Paid subscriptions, if available, are charged in advance on the billing cycle selected at checkout. Taxes may apply. Subscription features and usage limits may differ by plan and are described on the pricing page or in the app.

Subscriptions renew automatically unless cancelled before the renewal date. You may cancel from account settings or through the billing flow made available in Syncalio. No refunds are provided for partial billing periods unless required by applicable law or expressly stated in writing.

We may change pricing or plan packaging with reasonable notice. Changes do not affect already paid billing periods unless required by law or accepted by you.

6. Calendar, Email and Meeting Integrations

Syncalio may connect to Google Calendar, Microsoft Outlook, Microsoft 365 Calendar, Gmail, Microsoft email or Zoom when you choose to enable those integrations. By connecting an integration, you authorize Syncalio to access and use the connected account data needed to provide the requested scheduling, availability, booking, meeting-link or booking-message feature.

You can disconnect integrations from account settings. Disconnection may stop future sync, availability updates, event creation, reminders or meeting-link functionality that depends on the integration. Syncalio is not responsible for outages, limits, permission changes or data errors caused by third-party providers.

7. Public Pages, Booking Links and User Content

You retain ownership of content you upload or configure in Syncalio, including profile details, photos, logos, brand settings, booking page content, appointment types and custom questions. You grant Syncalio a limited licence to host, process, display and transmit that content solely to operate the Service.

You are responsible for ensuring that your public pages, booking links, descriptions, images, claims, prices, professional information and custom questions are accurate, lawful and do not infringe third-party rights.

8. Acceptable Use

You agree not to use the Service to:

  • violate any applicable law or regulation;
  • send spam or unsolicited commercial communications;
  • impersonate any person or misrepresent professional qualifications;
  • collect personal data without a valid legal basis or required notices;
  • request sensitive personal data unless legally permitted and strictly necessary;
  • upload malicious code or interfere with the Service or its infrastructure;
  • attempt unauthorized access to Syncalio, other accounts, calendars or systems;
  • use the Service for fraud, abuse, harassment or deceptive activity.

9. Customer Responsibilities for Invitees and Clients

You are responsible for the legality of the information you request from invitees and clients through booking pages, appointment notes, custom questions, calendar titles and related workflows. You must provide any legally required notices, obtain any required consents, and avoid collecting unnecessary sensitive data.

If you use Syncalio for professional services, healthcare-adjacent services, coaching, consulting, legal, financial or other regulated work, you are responsible for complying with the rules that apply to your profession, clients, jurisdiction and record-keeping obligations.

10. Privacy, Cookies and Data Protection

Your use of the Service is governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. Users are responsible for how they use Syncalio to collect and process their own clients' or invitees' personal data.

11. Intellectual Property

The Syncalio name, logo, platform, software, design, documentation and related intellectual property are owned by or licensed to Syncalio. These Terms do not transfer any Syncalio intellectual property to you. You may use the Service only as permitted by these Terms.

12. Third-Party Services

The Service depends on third-party services such as Google, Microsoft, Zoom, payment providers, hosting providers and other infrastructure. Your use of third-party integrations may be subject to their own terms, privacy notices, limits and account permissions. Syncalio is not responsible for third-party service availability, policy changes or external account decisions.

13. Service Availability and Changes

We work to keep Syncalio reliable, but the Service is provided on an "as available" basis. We may modify, improve, suspend or discontinue parts of the Service where needed for security, maintenance, compliance, provider changes, product development or business reasons.

We will try to give reasonable notice before material changes that negatively affect paid users, where practical and legally possible.

14. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, Syncalio does not guarantee that the Service will be uninterrupted, error-free, or meet every specific business, professional or regulatory need. Users remain responsible for checking appointments, calendars, client communications and professional obligations.

To the maximum extent permitted by law, Syncalio is not liable for indirect, incidental, special, consequential or punitive damages, lost profits, lost revenue, loss of goodwill, loss of data or business interruption arising from your use of the Service. Our total liability for any claim is limited to the amount you paid to Syncalio in the 12 months before the event giving rise to the claim, or CHF 100 if you used only a free plan.

15. Suspension, Termination and Account Deletion

We may suspend or terminate access if you violate these Terms, create security or legal risk, fail to pay applicable fees, abuse the Service, or use the Service in a way that may harm Syncalio, users, invitees or third-party providers.

You may request account deletion at any time from the account settings page or by contacting Syncalio. After account deletion, Syncalio deletes or anonymizes operational product data and ends your right to use the Service. Billing, payment, invoice, tax, accounting, security, fraud-prevention and legal claim records may be retained where required or permitted by law.

16. Indemnification

You agree to indemnify and hold harmless Syncalio, Bros Energy SA, and their officers, directors, employees and agents from claims, damages, liabilities, costs and expenses arising from your content, your use of the Service, your booking pages, your client or invitee data, your violation of these Terms, or your violation of law or third-party rights.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of Switzerland, without regard to conflict-of-law rules. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the competent courts of Lugano, Switzerland, unless mandatory law provides otherwise.

18. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify users by email and/or via a prominent notice on the platform where appropriate. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
